The Terms and Conditions (“T&C”) below govern the participation of the Client in the Sienna Net-Zero Home Promo (“Promo”)
offered by Billion Bricks Philippines Inc. (“BB”). The individual or entity paying the Reservation Fee shall be referred to herein
as the “Client”. By paying the Reservation Fee, the Client acknowledges and agrees to be bound by these T&C.
1. Definitions
1.1. Agreement refers to the contract to be entered into by BB and the Client after the Assessment Phase. It shall contain,
among others, the final contract price, inclusions, payment terms, method of the Balance, construction timeline,
details, requirements and other specifications.
1.2. Assessment Report pertains to the initial layout of the Sienna Home on the Chosen Lot considering the lot’s
orientation, identified setbacks and topography, and advice of licensed architects and contractors.
1.3. Balance refers to the amount due from the Client after deducting the final Assessment Fee from the total contract
price.
1.4. Chosen Lot pertains to any lot owned by the Client within the Philippines, which is suitable for building the Sienna
Home. BB shall not be responsible for acquiring (a) the Chosen Lot of the Client, and (b) the permits and licenses
needed for the completion of the Sienna Home.
1.5. Grace Period refers to the twelve (12) month period following the date of payment of the Reservation Fee.
1.6. Promo Price is an indicative price for the Sienna Model within the Grace Period. It expressly excludes land
acquisition, permits, licenses, taxes, utilities, site development, and any additional works and materials from those
identified in Annex A. Final pricing, inclusions, and payment terms for the Sienna Model shall be governed by the
Agreement in Section 6.
1.7. Quotation refers to the result of BB’s evaluation of the Request for Information (“RFI”) and the documentary
requirements given by the Client. It contains the final Assessment Fee following the evaluation of the documents
submitted by the Client.
1.8. Sienna Home refers to the Sienna Net-Zero Model (Annex A) selected by the Client in their RFI.
1.9. Sienna Model refers to the required services BB will perform in ensuring the house built on the Chosen Lot of the
Client contains the basic features and specifications of the Sienna Home listed in Annex A. BB will work with
third-party contractors and licensed professionals in carrying out its service.
2. General
2.1. Promo period: This promo shall be valid from August 14, 2025 to November 15, 2025.
2.2. Under the Promo, BB shall provide the Sienna Model at Promo Price.
2.3. The Promo Prices of the Sienna Model, exclusive of VAT, are as follows:
Sienna Standard (Two-Storey Single Attached): PHP 2,490,000.00
Sienna Bungalow (One-Storey, Single Attached): PHP 1,990,000.00
Sienna Larger (Three-Bedroom Single Attached): PHP 2,990,000.00
2.4. Each Promo Price is inclusive of the following:
Reservation Fee: PHP 999.00
Base Assessment Fee: PHP 10,000 + VAT (PHP 11,200) for all Sienna Home Net-Zero Model without
customization. (see Section 4.4 for customization-related fees).
Balance: varies depending on payment plan and final design (Section 6).
Final pricing, inclusions, and payment terms for the Sienna Home shall be governed by the Agreement referred to in
Section 6. Any increase in material, labor, or regulatory costs prior to execution of the Agreement shall result in price
adjustment.
2.5. To be entitled to the Promo Price, the Client must meet the conditions stated under this T&C, including but not limited
to payment of the Reservation Fee (Section 3), payment of the Assessment Fee (Section 5) and signing the
Agreement (Section 6) within the Grace Period. Failure to comply with any of the above-mentioned conditions shall
render the Client ineligible to participate in the Promo.
2.6. Payment of the Reservation Fee, Assessment Fee and any other fees shall be made to any of the following:

Fees will be deemed paid once check payment is cleared.
Proof of payment must be sent to BB at sales@billionbricks.org on or before the last day of the Grace Period to
qualify for the Promo.
2.7. By participating in this Promo, the Client consents to and authorizes BB to act on its behalf to perform the necessary
tasks for the Sienna Model and the completion of the Sienna Home on the Chosen Lot. BB shall consult the Client as
the need arises.
3. Reservation Fee
3.1. The Client shall pay a reservation fee of PHP 999 (“Reservation Fee”) through any of the identified payment methods
in Section 2 before the end of the Promo Period to be eligible for the Promo.
3.2. The Client recognizes that the payment of Reservation Fee only gives it the opportunity to avail of the Promo. BB has
the discretion to accept or reject the reservation on a case-to-case basis. In the event of rejection, BB shall inform the
Client in writing and refund the Client’s Reservation Fee within five (5) working days.
3.3. Cancellation and/or withdrawal of the reservation is allowed provided (a) it is done within the Grace Period, and (b)
the Client submits the written cancellation to BB at sales@billionbricks.org with Subject Matter: “Sienna Promo
Request for Refund” on or before the last day of the Grace Period.
3.4. Failure to comply with Section 3.3 will result in the forfeiture of the Reservation Fee in favor of BB without need of
notice or demand.
3.5. A full refund of the Reservation Fee will be done if the Client is able to cancel or withdraw their reservation in
accordance with Section 3.3.
4. Assessment Phase
4.1. After paying the Reservation Fee, the Client has the obligation to fill up and submit to BB within the Grace Period the
Request for Information (RFI) and the documentary requirements, in Annex B.
4.2. Upon receipt of the completed RFI and requirements, BB will evaluate the document and submit the Quotation to the
Client. If the Client desires to introduce changes, modification or customization, additional fee may apply depending
on the nature of the request.
4.3. Should the Client be amenable with the Quotation, they must settle and pay the final Assessment Fee in the
Quotation before the lapse of the Grace Period through any of the identified payment methods in Section 2.
4.4. The Assessment Fee in the Quotation is non-refundable and payable on or before the lapse of the Grace Period.
Failure to settle the payment within the Grace Period will result in the forfeiture of the Reservation Fee in favor of BB
without need of notice or demand.
4.5. BB shall begin preparing the Assessment Report only AFTER the Client pays the Assessment Fee stated in the
Quotation.
4.6. The Assessment Report shall be submitted to the Client for approval for a minimum period of 45 days from receipt of
payment of the final Assessment Fee. The period may vary on a case-to-case basis depending on the complexity of
the requested customizations.
4.7. After receiving the Assessment Report, the Client may either accept or cancel/withdraw from the Promo.
4.7.a. If the Client accepts, they commit to enter the Agreement.
4.7.b. If the Client cancels or withdraws within the Grace Period, only the Reservation Fee shall be refunded.
4.7.c. If the Client cancels or withdraws outside the Grace Period, the Reservation Fee shall be forfeited and made
in favor of BB.
4.7.d. The Assessment Fee remains non-refundable in any of the scenarios.
4.8. BB shall not be responsible for any delay arising from the Client’s failure to submit the needed requirements and/or
information.
4.9. BB reserves the right to cancel the Client’s request and/or participation in the Promo at any time prior to entering the
Agreement if the requested modification/customization is deemed too complex or improbable.
5. Assessment Fee
5.1. The base Assessment Fee is PHP 10,000 + VAT (PHP 11,200), which applies to the Standard Sienna Home,
Bungalow Sienna Home, or Larger Sienna Home without any design changes or customizations.
5.2. The Assessment Fee shall vary depending on the scope of changes, customization or modification, or deviation
requested by the Client, and assessment of third party contractors and licensed professionals. Below is an illustrative
schedule of the adjusted Assessment Fee:

5.3. All descriptions and amounts provided above are illustrative and indicative only. They are for guidance purposes only
and do not constitute a binding quotation. BB will review the Client’s actual requests and issue a formal quotation for
the applicable Assessment Fee. Final amounts and classifications will depend on the scope and complexity of the
design, as assessed by BB and its accredited professionals.
5.4. If further or additional customizations are requested after the Quotation, BB reserves the right to charge additional
Assessment Fees to cover the additional work.
6. Construction Phase
6.1. Should the Client decide to proceed, it shall enter into an agreement (the “Agreement”) detailing the terms and
conditions of the construction, including the timeline, final price, mode and manner of payment of the Balance.
6.2. The Balance may vary from the Promo Price depending on the Client’s request and instruction, time of execution of
the Agreement and assessment of third-party contractors and licensed professionals. Any increase in material, labor,
or regulatory costs prior to execution of the Agreement shall result in price adjustment of the final contract price.
6.3. The final contract price shall depend on the payment method of the Client, final design features and specifications of
the Client, and the quoted price of third party contractors and licensed architects.
6.4. The Client shall pay the down payment pursuant to the provisions of the Agreement. Otherwise, the reservation shall
automatically be deemed withdrawn, and BB shall have absolute right to cancel the Client’s participation in the
Promo, terminate the Agreement, and forfeit all payments made in favor of BB.
7. Transferability
7.1. This reservation is personal to the Client and shall be strictly non-transferable.
8. Warranties and Representation
8.1. The Client warrants that the Chosen Lot is legally owned, properly titled, and suitable for construction.
8.2. The Client further warrants that it shall only use accredited contractors and architects of BB in implementing the
design features and specifications listed in Annex A.
8.3. The Client recognizes that BB retains all intellectual property rights (IP rights) over the design features and
specifications listed in Annex A, the Sienna Home, and the Client can neither sell nor replicate such IP rights without
permission or consent of BB.
8.4. The Client shall be responsible for obtaining the needed permits and utilities for construction, including the necessary
local government unit (LGU) permits and clearances, as well as clearances from the Homeowners’ Association, if
applicable.
8.5. BB shall not be responsible for delays, additional costs, or cancellation of works arising from title disputes, incomplete
permits, easement issues, right-of-way problems, or other regulatory restrictions. In such cases, BB may cancel the
reservation or terminate the Agreement, and all payments made shall be forfeited in favor of BB.
9. Adjustments and Liability
9.1. Such modifications shall not entitle the Client to claim damages, or demand a refund of the Assessment Fee. The
Reservation Fee may be refunded provided it is done within the Grace Period.
9.2. BB’s maximum liability under this Promo, whether arising from contract, tort, or otherwise, shall not exceed the
aggregate amount actually paid by the Client at the time of the claim.
9.3. BB reserves the right, at its sole discretion, to revise, amend, or supplement these T&Cs, including but not limited to
prices, schedules, requirements, and processes, provided that such revisions shall be communicated to the Client in
writing.
9.4. Neither BB nor the Client shall be liable for delays or non-performance caused by events beyond their reasonable
control, including but not limited to natural disasters, pandemics, labor strikes, government restrictions, or supply
chain disruptions (“Force Majeure Events”). In such cases, timelines may be reasonably extended without liability.
10. Client Obligations
10.1. The Client shall timely provide all documents, information, and payments required by BB within the Promo Period.
10.2. Failure to comply with any requirement shall constitute a waiver of the Client’s rights under this Promo and shall result
in the automatic forfeiture of all payments made to BB without need of notice or demand.
11. Disclaimer of Warranties
11.1. Except as expressly provided in these T&C, BB makes no other warranties, express or implied, regarding the Promo,
the design, or the construction services. No verbal statements, marketing materials, or prior communications shall
modify the terms herein.
11.2. The Client understands and agrees that payment of the Reservation Fee only gives it the right to avail of the Promo
upon fulfillment of the conditions set herein stated.
11.3. The Client further understands that should the Chosen Lot become unfit and/or unavailable due to technical or
unforeseen reasons at any stage, it shall hold BB free and harmless for any liability. In this case, only the Reservation
Fee shall be refunded, and the Client shall be excused from its remaining payments. Further details are in the
Agreement.
